PickTerms of service
These terms govern the use of the PickVend service provided by Nordera Works Teknoloji ve Danışmanlık A.Ş. ("Nordera Works"). By using the operator dashboard or connecting a machine, you (the "Operator") accept them. A signed order form prevails over these terms where they differ.
1. The service
PickVend is a software integration layer that connects the Operator's machines (smart fridges, vending machines, lockers) to third-party delivery platforms, synchronises inventory, processes orders, and lets couriers open the machine with an order code. Nordera Works is not a party to the Operator's agreement with the delivery platform and does not sell the products in the machine.
2. Operator responsibilities
- Hold a valid merchant account with the delivery platform and comply with its terms, including food safety, pricing and tax rules.
- Keep machines stocked, online and accessible to couriers during the hours set on the platform.
- Provide accurate machine credentials and keep them confidential; the Operator is responsible for all activity under its dashboard login.
- Place the courier sticker on each connected machine.
3. Pickup and shrinkage
On open-door fridges, PickVend records what left the machine and reports mismatches. Nordera Works does not guarantee that a courier takes only the ordered items and is not liable for shrinkage; mismatch reports are provided to help the Operator claim against the platform.
4. Availability
We aim for continuous availability but do not guarantee it. Planned maintenance is announced in advance. Third-party outages (delivery platform, machine cloud, hosting) are outside our control; the dashboard log shows what happened.
5. Fees
Fees: €10 per connected machine per month (capped at €30 per site per month) and €1 per delivered order, unless an order form states otherwise. Fees are invoiced monthly in EUR from the order log available in the dashboard, payable within 14 days. There is no setup fee, no revenue share and no minimum term; the service can be cancelled at the end of any month. Platform commissions are charged by the platform, not by us. PickVend never receives, holds or forwards payments from consumers or platforms.
6. Data
Personal data is handled as described in the privacy notice and the Data Processing Addendum. The Operator owns its order and inventory data and can export it on request.
7. Term and termination
Monthly, renewing automatically; either party may terminate with 30 days' notice. We may suspend the service immediately for misuse, non-payment, or at a platform's request. On termination we delete the Operator's credentials and, after 30 days, its data unless retention is required by law.
8. Liability
To the extent permitted by law, our total liability under these terms is limited to the fees paid by the Operator in the 12 months before the claim. We are not liable for indirect losses, lost sales, or platform decisions (de-listing, rating changes). Nothing limits liability for wilful misconduct or gross negligence.
9. Intellectual property
PickVend, its software and documentation remain the property of Nordera Works. The Operator receives a non-exclusive, non-transferable right to use the service for the term.
10. Governing law
Turkish law governs these terms; courts of Istanbul (Çağlayan) have jurisdiction. For Operators established in the EU, mandatory consumer and data-protection rules of their member state remain unaffected. Parties will try to resolve disputes amicably first.
